Terms of service
Last updated October 20, 2026
These terms are an agreement between you and River Flint LLC ("we" or "us"). They cover our marketing website and RatioBooks, the accounting software you sign in to on the web or in our mobile app (together, our "services").
You accept these terms when you create a RatioBooks account, or when you use our services. If you use RatioBooks for a business, you accept them for that business and confirm you have the authority to do so, and "you" includes the business. If you don't agree, don't use our services.
Please read section 13. It requires disputes to be resolved by individual arbitration instead of in court, and waives class actions and jury trials.
Our privacy policy explains how we handle personal information.
1. Your account
- RatioBooks is for business use. You must be at least 18 and give us accurate information when you sign up.
- Keep your sign-in details secure. You are responsible for everything done under your account. Tell us right away if you think someone has accessed it without permission.
- RatioBooks organizes books into entities. An entity's admins decide who can access it and with what role. If you invite someone, you are responsible for the access you give them and confirm you are allowed to give it. People you invite must accept these terms too.
2. Plans and payment
- Current prices and what each plan includes are on our pricing page. Paid plans are billed monthly in advance and renew automatically until you cancel.
- If you sign up at a promotional price, it applies for the period stated. After that, your plan renews at the regular price unless you cancel.
- You can cancel at any time. Your plan stays active until the end of the period you have paid for. Payments are non-refundable unless the law requires otherwise.
- Plans include the usage limits shown on our pricing page. If you go over them, we may ask you to add an add-on or limit your usage.
- Prices do not include taxes unless stated, and you are responsible for any taxes that apply. If a payment fails, we may suspend your account until it is paid.
- We may change our prices. We will tell you at least 30 days before a change applies to you, and it takes effect from your next billing period after that.
3. Your data
- You own the data you and your team put into RatioBooks, such as transactions, journal entries, receipts, invoices, contacts, and reports.
- You give us permission to host, copy, process, and display that data as needed to provide, secure, and improve our services, as described in our privacy policy.
- You confirm you have the right to put that data into RatioBooks, including personal information about your customers, vendors, and others, and that your use of our services follows the law.
- RatioBooks lets you export your books. We recommend exporting your records regularly.
4. Automated features; not professional advice
- RatioBooks is software, not an accountant. We do not give accounting, tax, legal, financial, or investment advice, and nothing in our services is such advice.
- Features such as receipt reading, transaction matching, and categorization are automated, use AI, and can make mistakes. Some categories may be posted automatically. Review your books and don't rely on automated results without checking them.
- You are responsible for the accuracy of your books and for your tax and other filings. We recommend having a qualified professional review them.
- We are not a bank or payment processor, and we never hold your money.
5. Bank connections, payments, and other services
- Bank connections are provided by Plaid. By connecting a bank, you allow us and Plaid to access and transfer your account data as described in our privacy policy and Plaid's End User Privacy Policy. Bank data comes from your bank and Plaid and may be delayed, incomplete, or wrong; check it against your bank's records.
- Invoice payments are processed by Stripe, under a Stripe account that belongs to you and Stripe's own agreements. You are the seller for your invoices. Payments, refunds, chargebacks, and disputes are between you, your customer, and Stripe.
- Other services, including your bank, Plaid, Stripe, and app stores, are not controlled by us, and we are not responsible for them. Your use of them is subject to their own terms.
6. Availability and changes
We work to keep our services running, but we don't promise they will always be available or error-free, and we may need to take them down for maintenance. We may change, add, or remove features at any time. If we stop offering RatioBooks or remove a core feature, we will try to give you advance notice and a chance to export your data.
7. What you may not do
Don't use our services to:
- break the law or infringe anyone's rights;
- resell, sublicense, or give others access to RatioBooks outside the entity and member features it provides;
- copy, scrape, reverse-engineer, or build a competing product from our services;
- interfere with our services, get around their security or limits, or access other customers' data; or
- upload malware or unlawful content.
8. Our marketing website
You may use our marketing website to learn about RatioBooks. Its content, including features and pricing, is general information, may change without notice, and is not an offer. The price and plan shown when you sign up or change your plan are the ones that apply.
9. Ownership and feedback
Apart from your data, our services and their content, software, names, and logos belong to us or our licensors. These terms give you permission to use our services, not ownership. If you send us feedback or ideas, we may use them freely without any obligation to you.
10. Ending these terms
- You can stop using our services, cancel your plan, or delete your account at any time.
- We may suspend or close your account if you break these terms, don't pay, put our services or others at risk, or if the law requires it. We may also close your account for any other reason with 30 days' notice.
- Where practical, we will give you notice and a chance to export your data before your access ends. After your account ends, we may delete your data as described in our privacy policy.
- Sections 3, 4, and 9 through 14 continue to apply after these terms end.
11. Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT ALLOWED BY LAW. WE DO NOT PROMISE THAT BANK DATA, AUTOMATED RESULTS, OR REPORTS WILL BE ACCURATE OR COMPLETE.
12. Liability and indemnity
TO THE FULLEST EXTENT ALLOWED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TAX PENALTIES OR INTEREST, ARISING FROM THESE TERMS OR OUR SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
You will defend and pay for any claims brought against us by others, and related costs and reasonable legal fees, that arise from your data, your use of our services, your breach of these terms, or your dealings with your customers, vendors, or payers.
13. Disputes
- Talk to us first. Before starting a formal dispute, email us at support@ratiobooks.com and describe the problem. We will both try in good faith to resolve it for 30 days.
- Arbitration. If we can't resolve it, any dispute about these terms or our services will be decided by binding individual arbitration administered by JAMS under its rules, not in court. Arbitration will take place in Georgia unless we both agree otherwise, and hearings may be held by video. The Federal Arbitration Act governs this section.
- Exceptions. Either of us may bring an individual claim in small claims court, or ask a court to stop the misuse of intellectual property.
- No class actions or juries. Claims may be brought only individually, not as part of a class, collective, or representative action. You and we both give up any right to a jury trial. If this class action waiver is found unenforceable for a claim, that claim must be decided in court, not in arbitration.
14. General
- Governing law. These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. Any claim not decided in arbitration must be brought only in the state or federal courts located in that state.
- Changes to these terms. We may update these terms by posting a new version here. If a change is material, we will also tell RatioBooks users, for example by email or in RatioBooks. Continuing to use our services after a change takes effect means you accept it.
- Notices. We may send you notices by email or in RatioBooks, and they count as written notice. Send notices to us at support@ratiobooks.com.
- Everything else. These terms and our privacy policy are the entire agreement between you and us about our services. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver. We may transfer these terms; you may not without our written consent.
